Semler Scientific files $500M offering to boost Bitcoin reserves

Semler Scientific, a medical technology firm listed on Nasdaq, has filed a $500 million mixed-securities offering with the U.S. Securities and Exchange Commission (SEC) to expand its Bitcoin (CRYPTO:BTC) holdings.

The company aims to strengthen its position in cryptocurrency as a treasury reserve asset, a strategy it adopted in May 2024.

According to the SEC filing, Semler plans to sell debt securities, common stock, units, or warrants to raise funds primarily for Bitcoin acquisitions.

Proceeds may also be allocated for general corporate purposes.

This marks a continuation of the firm’s aggressive Bitcoin investment approach, which has already seen it accumulate 3,192 BTC as of February 2025.

These holdings were acquired at an average purchase price of $87,854 per Bitcoin, amounting to a total investment of $280.4 million.

Eric Semler, chairman of Semler Scientific, expressed optimism about the strategy during recent remarks.

“We have reached a settlement in principle. Excited to buy more BTC!” he stated.

Semler views Bitcoin as a long-term store of value comparable to gold but with greater growth potential due to its finite supply and increasing institutional adoption.

The company has financed previous Bitcoin purchases through convertible bonds, equity offerings, and operational cash flow.

For instance, between January and February 2025, Semler acquired 871 BTC for $88.5 million using proceeds from its senior convertible notes offering and the sale of a minority stake in Monarch Medical Technologies.

Semler’s Bitcoin-focused treasury strategy has yielded significant returns since its adoption.

From July 2024 to February 2025, the firm reported a BTC yield of 152.2%.

Even if the price of Bitcoin has fluctuated over the past year, going from $50,000 to $109,000, Semler is still dedicated to its cryptocurrency holdings.

The filing also acknowledges risks associated with digital assets, including regulatory changes and cybersecurity vulnerabilities.

However, Semler’s consistent acquisitions underline its confidence in Bitcoin’s potential as a transformative financial asset.

At the time of reporting, the Bitcoin (BTC) price was $83,362.04.
